1. Introduction & Who We Are
These Terms and Conditions ("Terms") govern your access to and use of the website located at clockwrk.io ("the Website") and the subscription-based design and development services offered through it ("the Service").

Clockwrk is a subscription-based design and development agency. Clockwrk helps businesses, startups, and professionals scale through on-demand access to a dedicated team of designers and developers.
By accessing the Website, booking a call, or purchasing a subscription, Users confirm that they have read, understood, and agree to be bound by these Terms in full. If you do not agree, you must not use the Website or the Service.

- Users may not qualify as Consumers — the Service is intended solely for Business Users acting for commercial or professional purposes
- Users must be recognised as an adult by applicable law
- Users must have the legal capacity to enter into a binding contract
- Users must not be prohibited from receiving services under the laws of their country
If a User is purchasing on behalf of a company or organisation, they represent and warrant that they have the authority to bind that entity to these Terms.
3. Content on This Website
Unless where otherwise specified or clearly recognisable, all content available on this Website is owned or provided by the Owner or its licensors.
The Owner undertakes its utmost effort to ensure that the content provided on this Website infringes no applicable legal provisions or third-party rights. However, it may not always be possible to achieve such a result. In such cases, without prejudice to any legal prerogatives of Users to enforce their rights, Users are kindly asked to report related complaints using the contact details provided in this document.
Rights Regarding Content on This Website — All Rights Reserved
The Owner holds and reserves all intellectual property rights for any such content. Users may not therefore use such content in any way that is not necessary or implicit in the proper use of the Service.
In particular, but without limitation, Users may not copy, download, share (beyond the limits set forth below), modify, translate, transform, publish, transmit, sell, sublicence, edit, transfer or assign to third parties, or create derivative works from the content available on this Website, nor allow any third party to do so through the User or their device, even without the User's knowledge.
Where explicitly stated on this Website, the User may download, copy and/or share some content available through this Website for its sole personal and non-commercial use, provided that copyright attributions and all other attributions requested by the Owner are correctly implemented. Any applicable statutory limitation or exception to copyright shall stay unaffected.
4. Access to External Resources
Third-Party Services
Through this Website and the Service, Users may have access to external resources, platforms, infrastructure providers, APIs, email delivery services, automation tools, and other services provided by third parties. Users acknowledge and accept that the Owner has no control over such third-party services and is therefore not responsible for their content, availability, performance, or continued operation.
Clockwrk uses third-party infrastructure providers including Hostinger for web hosting and Cloudflare for CDN, DNS, and security services. Clockwrk is not liable for outages, downtime, data loss, degraded performance, DNS propagation delays, domain-related issues outside Clockwrk's direct control, or any interruption caused by Hostinger, Cloudflare, or any other third-party infrastructure provider.
Clockwrk is not liable for failures of third-party APIs, email delivery services, automation tools, plugins, libraries, or any other external service used in the delivery of the Service. The User's use of third-party services integrated into their deliverables is subject to those services' own terms, conditions, licence requirements, and service levels.
The User is responsible for maintaining appropriate accounts, licences, permissions, and access with any third-party providers used in or connected to their deliverables. Conditions applicable to third-party resources, including any grant of rights in content or software, result from each third party's own terms and conditions or, in the absence of those, applicable statutory law.
5. Acceptable Use
This Website and the Service may only be used within the scope of what they are provided for, under these Terms and applicable law. Users are solely responsible for making sure that their use of this Website and/or the Service violates no applicable law, regulations, or third-party rights.
The Owner reserves the right to take any appropriate measure to protect its legitimate interests — including by denying Users access to this Website or the Service, terminating contracts, and reporting any misconduct to the competent authorities — whenever Users engage or are suspected of engaging in any of the following activities:
- Violating laws, regulations, and/or these Terms
- Infringing any third-party rights, including intellectual property rights and privacy rights
- Requesting work that is illegal, defamatory, obscene, fraudulent, or that promotes violence, terrorism, hate speech, or discrimination of any kind
- Requesting content that sexualises, exploits, or endangers minors in any way
- Attempting to reverse-engineer, resell, or sub-licence any part of the Service without the Owner's prior written consent
- Using the Service to compete directly with Clockwrk by reselling deliverables as one's own agency's work without a White Label agreement
- Submitting false, misleading, or fraudulent information in connection with any booking, application, or referral
- Considerably impairing the Owner's legitimate interests
- Offending the Owner or any third party
6. The Service
Clockwrk provides a subscription-based model for ongoing design and development work, delivered on a per-request basis. The Service includes but is not limited to: UI/UX design, graphic design, branding and visual identity, frontend and backend web development, Webflow and Framer development, outdoor and print design, web presence assets, ERP systems, e-commerce, mobile app design, pitch decks, social media design, and email templates.
What Is a Request?
A "Request" is one clearly scoped, deliverable unit of work. A Request is not an entire project — complex projects are broken into sequential or parallel Requests depending on the User's plan tier. The Owner will clarify scope and confirm understanding before beginning work on any Request. Vague or incomplete briefs may delay the commencement of a Request.
Turnaround Time
The Owner targets delivery of each completed Request within 2–4 business days from the moment a Request is clearly defined, confirmed, and all necessary assets and information have been received from the User. Turnaround targets are good-faith commitments, not contractual guarantees, and may be affected by complexity, missing materials, or circumstances outside the Owner's reasonable control.
Plan Tiers
Plans are structured as Startup (1 active Request at a time), Business (2 active Requests at a time), and Enterprise (3 active Requests at a time), each available on a weekly or monthly billing cycle. Exact pricing is displayed on the Website and is subject to change with notice to active subscribers.
Ongoing Care Plans
After or instead of a subscription, a client may purchase a monthly ongoing care plan (Care, Care+, or Care Pro) for maintenance of shipped work. Care covers monitoring, updates, backups, security, and small edits, with a set number of included hours each month and a stated response time. Each tier's inclusions, price, and response time are shown in the client portal at the time of purchase. Hours beyond those included are billed at the rates shown in the portal. Care plans are paid monthly by bank transfer and follow the same cancellation at the end of the current period and refund terms as subscriptions.
Managed Hosting and Infrastructure Services
Clockwrk may manage hosting, deployment, DNS configuration, CDN setup, SSL certificates, server monitoring, and ongoing maintenance as part of the Service or as a separate engagement. Where such services are provided, Hostinger and Cloudflare are third-party infrastructure providers. Clockwrk manages the infrastructure configuration and related service layer but does not own the underlying servers, networks, or provider systems.
Clockwrk does not guarantee uptime or uninterrupted availability for managed hosting or infrastructure services. Availability depends on third-party providers whose own terms, conditions, and service level arrangements apply. Hosting pricing may change with at least 14 days notice to affected clients, and access to hosting or related infrastructure services may be suspended for non-payment.
Clients are solely responsible for domain name renewals. Clockwrk will make reasonable efforts to notify clients of upcoming domain expiry where Clockwrk is aware of the renewal date, but accepts no liability for domain expiry, loss, transfer failure, DNS interruption, or related consequences. Clients are responsible for ensuring all content hosted on infrastructure managed by Clockwrk complies with applicable law.
Clockwrk will use reasonable efforts to maintain periodic backups of managed infrastructure. Backups are retained for a minimum of 14 days. Backups are a best-effort service and Clockwrk does not guarantee the availability or completeness of any backup. Clients are encouraged to maintain their own independent backups of all content and data.
7. Terms and Conditions of Sale
Paid Products
Some of the Products provided on this Website, as part of the Service, are provided on the basis of payment. The fees, duration, and conditions applicable to the purchase of such Products are described below and in the dedicated sections of this Website.
Product Description
Prices, descriptions, or availability of Products are outlined in the respective sections of this Website and are subject to change without notice. While Products on this Website are presented with the greatest accuracy technically possible, representation on this Website through any means is for reference only and implies no warranty as to the characteristics of the purchased Product. The characteristics of the chosen Product will be outlined during the purchasing process.
Purchasing Process
Any steps taken from choosing a Product to order submission form part of the purchasing process. The purchasing process includes these steps:
- By selecting a plan and clicking the checkout button, Users are directed to a checkout page showing Clockwrk's bank details and the exact amount to transfer in USD
- Users must transfer the stated amount by bank wire or ACH, then submit the confirmation form with their details and the transaction ID from their bank receipt, hereby accepting these Terms and committing to pay the agreed-upon price
Order Submission
When the User submits an order, the following applies:
- The submission of an order determines contract conclusion and therefore creates for the User the obligation to pay the stated price and any taxes, duties, or bank or transfer fees for which the User is responsible under these Terms
- The order submission creates an obligation for the User to cooperate accordingly by providing necessary information, assets, and specifications required to deliver the Service
- After Clockwrk verifies the bank transfer, normally within 24 hours, Users will receive their client portal access code by email
- All notifications related to the purchasing process shall be sent to the email address provided by the User for such purposes
Prices
Prices on this Website and the exact amount shown at checkout are displayed in USD. Any taxes, duties, or bank or transfer fees charged in the User's own country or by their bank are the User's responsibility, unless otherwise agreed in writing.
Offers and Discounts
The Owner may offer discounts or provide special offers for the purchase of Products. Any such offer or discount shall always be subject to the eligibility criteria and the terms and conditions set out in the corresponding section of this Website. Offers and discounts are always granted at the Owner's sole discretion. Repeated or recurring offers or discounts create no claim, title, or right that Users may enforce in the future. Depending on the case, discounts or offers shall be valid for a limited time only. If an offer or discount is limited by time, the time indications refer to the time zone of the Owner unless otherwise specified.
Coupons
Offers or discounts may be based on Coupons. If a breach of the conditions applicable to Coupons occurs, the Owner can legitimately refuse to fulfil its contractual obligations and reserves the right to take appropriate legal action to protect its interests. Unless otherwise stated, the following rules apply to the use of Coupons:
- Each Coupon is only valid when used in the manner and within the timeframe specified on the Website and/or the Coupon
- A Coupon may only be applied in its entirety at the actual time of purchase — partial use is not permitted
- Single-use Coupons may only be applied once per purchase
- Coupons cannot be applied cumulatively
- The Coupon must be redeemed exclusively within the time specified in the offer; after this period, the Coupon will automatically expire
- The User is not entitled to any credit, refund, or compensation if there is a difference between the value of the Coupon and the redeemed value
- Any reproduction, counterfeiting, or commercial trade of the Coupon is strictly forbidden
Methods of Payment
Payment is accepted by bank transfer only. Clockwrk receives the transfer directly and verifies it using the details submitted in the confirmation form, including the User's name, email address, company, and transaction ID. Clockwrk does not collect or store payment card details. Later payments for renewals, add-ons, or plan changes are also made by bank transfer; Users upload their bank receipt in the client portal for Clockwrk to confirm. If a transfer is not received or cannot be verified, the Owner shall be under no obligation to fulfil the purchase order.
Retention of Usage Rights
Users do not acquire any rights to use the purchased Product until the total purchase price is received by the Owner.
Delivery
The purchased Service shall be performed or made available within the timeframe specified on this Website or as communicated before the order submission, subject to receipt of all necessary information and assets from the User.
Price Changes
The Owner reserves the right to change subscription prices. Active subscribers will be notified at least 14 days before a price change takes effect on their account. Continued use of the Service after the effective date constitutes acceptance of the new pricing.
8. Subscriptions
Open-Ended Subscriptions
Subscriptions allow Users to receive the Service continuously and regularly over time. Paid subscriptions begin on the day the payment is received by the Owner. In order to maintain subscriptions, Users must pay the required recurring fee in a timely manner. Late payment may pause production as described in the Late Payment subsection below.
Termination of Open-Ended Subscriptions
Open-ended subscriptions may be terminated at any time by sending a clear and unambiguous termination notice through the client portal or by email to [email protected]. Terminations shall take effect at the end of the current billing period. The User will retain access to the Service and any in-progress Requests will continue until that period ends.
Pausing
Clients may pause a subscription through the Subscription options in the client portal or by email to [email protected]. While paused, billing is paused and the billing cycle stops. The subscription stays paused until the client resumes or cancels it, with no maximum pause length. Requests, the queue, and files are kept, but active work on Requests stops. On resuming, the unused part of the billing period that was running when the pause began continues; a new billing period starts only after that remainder is used.
Late Payment
If a renewal payment has not been received, production on Requests is paused automatically 12 hours after the start of the due date for weekly plans, and 2 days after the start of the due date for monthly plans (Pakistan time). If the client has reported a transfer in the portal, work continues for up to 36 hours while Clockwrk verifies it. Work resumes once payment is confirmed.
Plan Changes
Clients may change plans, switch between weekly and monthly billing, and add or remove add-ons through the client portal or by email to [email protected]. When a client changes plan, the unused, already-paid part of the current period is credited toward the new plan. Changes are confirmed once any amount due has been paid by bank transfer.
Add-ons and Extra Features
Users that have an active subscription may purchase additional add-ons through the Clockwrk portal. Add-ons are paid for separately from the base subscription by bank transfer, on the same billing cycle unless otherwise specified at the point of purchase. Users upload their bank receipt in the client portal for Clockwrk to confirm. All add-ons are subject to these Terms unless a separate written agreement governs a specific add-on.
The available add-ons are Extra Gear (one more Request in parallel), Overdrive (queued Requests move ahead of the standard queue), White Label (removes Clockwrk branding and attribution), and Timekeeper (a dedicated Clockwrk project manager who manages the client's Requests; available on Business and Enterprise plans). Each add-on is described in detail at the point of purchase within the portal. By purchasing an add-on, the User confirms they have read and understood that description. The Owner reserves the right to introduce, modify, discontinue, or replace any add-on at any time with at least 14 days notice to active add-on subscribers. In the event an add-on is discontinued, the Owner will not charge for it beyond the current billing period. Cancellation of an add-on follows the same terms as the base subscription — cancellation takes effect at the end of the current billing period with no partial refunds.
9. Right of Withdrawal
The right of withdrawal does not apply on this Website.
Users acknowledge and accept that the right of withdrawal does not apply to contracts concluded over this Website due to the nature of its offering. The Service is intended solely for Business Users acting in a commercial or professional capacity. Business Users do not benefit from the statutory right of withdrawal available to consumers under EU Directive 2011/83/EU or equivalent legislation in other jurisdictions.
By confirming their order, Users acknowledge that they are acting as Business Users and waive any claim to consumer withdrawal rights. No refunds are issued once a billing period has commenced and work has begun. If a User is dissatisfied with a deliverable, the Owner will revise it at no additional cost until it meets the agreed brief. Revision requests must be raised through the client portal or by email to [email protected] within 7 days of delivery.
In exceptional circumstances where no work has commenced, refunds may be considered at the Owner's sole discretion.
10. Refund Policy
Clockwrk does not offer refunds, except as described under Exceptional Circumstances below. All sales are final once a billing period has commenced.
Due to the nature of the Service — which involves the immediate commitment of creative and technical resources upon payment — all subscription fees are non-refundable. This applies to all plan tiers, billing cycles, and add-ons.
Specifically:
- No refunds are issued for any unused portion of a billing period following cancellation
- No refunds are issued if the User chooses not to submit Requests during an active billing period
- No refunds are issued if the User is dissatisfied with a deliverable — the Owner will instead revise the deliverable at no additional cost until it meets the agreed brief
- No refunds are issued if the User's access is suspended or terminated due to a breach of these Terms
- No cash refunds are issued for unused paid time; on a plan change, that time is credited toward the new plan as described in Plan Changes above
Revisions
If a User is dissatisfied with any deliverable, the Owner will revise it at no additional cost until it meets the originally agreed brief. Revision requests must be raised through the client portal or by email to [email protected] within 7 days of delivery. Requests to change the original brief after delivery are considered new Requests, not revisions.
Exceptional Circumstances
In exceptional circumstances where no work has commenced on any Request within the current billing period, a refund may be considered at the Owner's sole discretion. To request consideration, the User must contact [email protected] within 48 hours of the billing date. Any refund issued under this exception is not a precedent for future requests.
Payment Disputes
Users must contact the Owner before raising any dispute or reversal of a payment with their bank. Reversing or disputing a payment without first contacting the Owner is a breach of these Terms, and the Owner may suspend or terminate the User's account and pursue recovery of the disputed amount.
11. Intellectual Property
Website Intellectual Property
Without prejudice to any more specific provision of these Terms, all intellectual property rights relating to this Website — including copyrights, trademark rights, patent rights, and design rights — are the exclusive property of the Owner or its licensors and are subject to the protection granted by applicable laws or international treaties relating to intellectual property.
All trademarks — nominal or figurative — and all other marks, trade names, service marks, word marks, illustrations, images, or logos appearing in connection with this Website are, and remain, the exclusive property of the Owner or its licensors.
Ownership of Deliverables
Upon receipt of full payment for the relevant billing period in which a deliverable was produced, all intellectual property rights in that final deliverable are assigned to the User. The User owns the work. This assignment covers copyright and any other applicable intellectual property rights in the final output. Ownership of work in progress transfers to the User only upon full payment.
Pre-existing Materials
The Owner retains ownership of any pre-existing tools, templates, code libraries, frameworks, methodologies, and processes used in producing deliverables. A non-exclusive licence to use these as embedded in the final deliverable is granted to the User as part of the Service.
Portfolio Rights
The Owner retains the right to display completed work in its portfolio, on the Website, and across social media channels for promotional purposes, unless the User requests otherwise in writing before delivery. The Owner will never share confidential business information as part of portfolio promotion.
User Content
The User retains all rights to materials, assets, copy, and content provided to the Owner for use in producing deliverables. By providing such materials, the User represents that they have the right to share them and grants the Owner a limited licence to use them solely for the purpose of producing the requested work. The User agrees to indemnify the Owner against any third-party claims arising from materials provided by the User.
Attribution and Footer Branding
Deliverables produced by Clockwrk may include a small "Built by Clockwrk" attribution in the footer, codebase, metadata, or other reasonable location. Removal of this attribution requires either an active White Label add-on agreement or a separate written agreement with the Owner.
White Label
Removal of Clockwrk branding from deliverables is only permitted under an active White Label add-on subscription. If a White Label subscription lapses, expires, or is cancelled, the attribution terms revert to the standard attribution and footer branding terms described above unless otherwise agreed in writing by the Owner.
Third-Party Assets
Any third-party assets, fonts, icons, stock imagery, plugins, libraries, frameworks, or other third-party materials used in deliverables remain subject to their original licences and terms. Clockwrk will use reasonable efforts to use properly licenced assets, but it is the User's responsibility to verify licence compliance for their specific use case, particularly for commercial use.
12. Confidentiality
Clockwrk keeps clients' non-public business information, materials, and unreleased work confidential and uses them only to provide the Service. This does not apply to information that is already public or that Clockwrk is required by law to disclose. The portfolio right in the Intellectual Property section never includes confidential business information, and the client may opt out of portfolio use in writing before delivery. Clockwrk will sign a separate NDA on request.
13. Client Responsibilities
The quality and timeliness of deliverables depends on the User's cooperation. Users are responsible for:
- Providing clear, complete, and accurate briefs for each Request before work begins
- Supplying all necessary assets, copy, brand guidelines, and access credentials in a timely manner
- Ensuring that materials provided do not infringe the intellectual property or other rights of any third party
- Providing feedback and approvals within a reasonable timeframe — typically within 3 business days of delivery
- Communicating scope changes before work begins, not after delivery
- The User is solely responsible for ensuring all content, images, copy, and materials uploaded or provided to Clockwrk are owned by the User or that the User holds the appropriate licences and permissions for their use
- The User is responsible for verifying that all deliverables are correct, complete, and suitable for their intended purpose before launching or publishing them
- The User is responsible for maintaining their own backups of all content, data, and assets, independent of any backups maintained by Clockwrk
- The User is responsible for ensuring that all content hosted or deployed through Clockwrk-managed infrastructure complies with applicable law, including but not limited to copyright law, data protection law, and advertising standards
Delays caused by incomplete briefs, slow feedback, or missing materials are not a failure of the Owner's turnaround commitments and do not entitle the User to a refund or credit.
Client Portal Accounts
Clients must keep their client portal sign-in details secure, are responsible for activity under their accounts, and must tell Clockwrk promptly about unauthorised use. Clockwrk may suspend access to protect an account or the Service.
14. Referral Programme
The Owner operates an optional referral programme. Participation is subject to the following conditions:
- Referral rewards are calculated as 5% of the first payment made by a client referred by the User, triggered when that referred client completes their first successful payment
- Referral rewards are issued to the email address associated with the User's referral account and are non-transferable
- Only one referrer may be credited per referred client
- Self-referrals, referrals of existing Clockwrk clients, and fraudulent or artificial referrals will be disqualified without notice
- The Owner reserves the right to withhold rewards where there is reasonable suspicion of abuse or manipulation of the programme
- The Owner reserves the right to modify, suspend, or permanently terminate the referral programme at any time with reasonable notice to participants
- Pending rewards at the time of programme termination will be honoured provided the referred client's payment has already cleared
15. Support
What Support Includes
Support includes responding to questions about active Requests, clarifying deliverable scope, providing revision guidance, and general communication related to the Service through the client portal or by email at [email protected].
What Support Excludes
Support does not include general design or development consultancy unrelated to an active Request, support for third-party tools or platforms not configured by Clockwrk, emergency infrastructure support outside business hours unless a separate agreement exists, or training and onboarding services unless explicitly included in the User's plan.
Response Times
Clockwrk aims to respond to support enquiries within 1–2 business days. Response times are targets, not contractual guarantees, and may vary during high-demand periods or due to circumstances outside the Owner's control.
16. Liability and Indemnification
Indemnification
The User agrees to defend, indemnify, and hold the Owner and its affiliates, officers, directors, agents, partners, and employees harmless from and against any and all claims or demands, damages, obligations, losses, liabilities, costs or debt, and expenses — including but not limited to legal fees and expenses — arising from:
- The User's use of and access to the Service, including any data or content transmitted or received by the User
- The User's violation of these Terms, including breach of any representations or warranties set forth herein
- The User's violation of any third-party rights, including intellectual property rights or privacy rights
- The User's violation of any applicable statutory law, rule, or regulation
- Any content submitted from the User's account, including third-party access with the User's credentials, including misleading, false, or inaccurate information
- The User's wilful misconduct
- Any materials, assets, or content provided by the User that infringe the rights of any third party
Limitation of Liability
Unless otherwise explicitly stated and without prejudice to applicable statutory product liability provisions, Users shall have no right to claim damages against the Owner or any natural or legal person acting on its behalf.
This does not apply to damages resulting from the breach of an essential contractual obligation strictly necessary to achieve the purpose of the contract, or damages resulting from intent or gross negligence, as long as this Website has been appropriately and correctly used by the User.
Unless damages have been caused by way of intent or gross negligence, the Owner shall only be liable to the extent of typical and foreseeable damages at the moment the contract was entered into.
The following limitation applies to all Users:
- In any event of liability, the total compensation may not exceed the total payments received by the Owner from the User in the preceding 3 months, or the period of the duration of the Agreement, whichever is shorter
To the maximum extent permitted by applicable law, in no event shall the Owner be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages — including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses — arising out of or relating to the use of, or inability to use, the Service.
As-Is / As-Available
The Website and Service are provided strictly on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Clockwrk makes no warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or reliability.
No Guarantee of Outcomes
Clockwrk makes no guarantee of uptime or uninterrupted service, search engine rankings or positions, organic traffic volumes, conversion rates, revenue, or business outcomes. These outcomes depend on factors entirely outside Clockwrk's control, including third-party algorithms, search engine changes, market conditions, competitor activity, client actions, client content, platform changes, and other external circumstances.
US Users — Disclaimer of Warranties
This Website is provided strictly on an "as is" and "as available" basis. Use of the Service is at Users' own risk. To the maximum extent permitted by applicable law, the Owner expressly disclaims all conditions, representations, and warranties — whether express, implied, statutory, or otherwise — including but not limited to any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights.
The Owner does not warrant that the content is accurate, reliable, or correct; that the Service will meet Users' requirements; that the Service will be available at any particular time or location, uninterrupted, or secure; or that any defects or errors will be corrected. Some jurisdictions do not allow the exclusion and limitations of certain implied warranties — the above exclusions may not apply to Users in those jurisdictions.
17. Common Provisions
No Waiver
The Owner's failure to assert any right or provision under these Terms shall not constitute a waiver of any such right or provision. No waiver shall be considered a further or continuing waiver of such term or any other term. The Owner's decision to not take action against a User for any particular breach shall not prevent the Owner from taking action against that User or any other User for the same or any subsequent breach.
Service Interruption
To ensure the best possible service level, the Owner reserves the right to interrupt the Service for maintenance, system updates, or any other changes, informing Users appropriately. Within the limits of law, the Owner may also decide to suspend or discontinue the Service altogether. If the Service is discontinued, the Owner will cooperate with Users to enable them to withdraw personal data or information and will respect Users' rights relating to continued product use and/or compensation, as provided for by applicable law. Additionally, the Service might not be available due to reasons outside the Owner's reasonable control, such as force majeure events — including but not limited to infrastructural breakdowns, internet outages, blackouts, natural disasters, or other events beyond the Owner's reasonable control.
Service Reselling
Users may not reproduce, duplicate, copy, sell, resell, or exploit any portion of this Website or its Service without the Owner's express prior written permission, granted either directly or through a legitimate reselling programme such as the White Label add-on.
Privacy
To learn more about the use of Personal Data, Users may refer to the Privacy Policy and Cookie Policy of this Website, both of which are incorporated into these Terms by reference.
Assignment of Contract
The Owner reserves the right to transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these Terms, taking the User's legitimate interests into account. Users may not assign or transfer their rights or obligations under these Terms in any way without the prior written permission of the Owner.
Changes to These Terms
The Owner reserves the right to amend or otherwise modify these Terms at any time. Active subscribers will be notified of material changes at least 14 days before they take effect. For non-material changes, the Owner may update without advance notice. Such changes will only affect the relationship with the User from the date communicated onwards. Continued use of the Service will signify the User's acceptance of the revised Terms. If Users do not wish to be bound by the changes, they must stop using the Service and may terminate the Agreement. The applicable previous version will govern the relationship prior to the User's acceptance.
Contacts
All communications relating to the use of this Website must be sent using the contact information stated in this document.
Severability
Should any provision of these Terms be deemed or become invalid or unenforceable under applicable law, the invalidity or unenforceability of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
US Users
Any such invalid or unenforceable provision will be interpreted, construed, and reformed to the extent reasonably required to render it valid, enforceable, and consistent with its original intent. These Terms constitute the entire Agreement between Users and the Owner with respect to the subject matter hereof, and supersede all other communications, including but not limited to all prior agreements, between the parties with respect to such subject matter. These Terms will be enforced to the fullest extent permitted by law.
EU Users
Should any provision of these Terms be or be deemed void, invalid, or unenforceable, the parties shall do their best to find, in an amicable way, an agreement on valid and enforceable provisions thereby substituting the void, invalid, or unenforceable parts. In case of failure to do so, the void, invalid, or unenforceable provisions shall be replaced by the applicable statutory provisions, if so permitted or stated under applicable law. Without prejudice to the above, the nullity, invalidity, or the impossibility to enforce a particular provision of these Terms shall not nullify the entire Agreement, unless the severed provisions are essential to the Agreement, or of such importance that the parties would not have entered into the contract if they had known that the provision would not be valid, or in cases where the remaining provisions would translate into an unacceptable hardship on any of the parties.
18. Governing Law & Dispute Resolution
Governing Law
These Terms are governed by the law of Pakistan, where the Owner is based, without regard to conflict of laws principles.
However, regardless of the above, if the law of the country that the User is located in provides for a higher applicable consumer protection standard, such higher standards shall prevail to the extent required by law.
Venue of Jurisdiction
The exclusive competence to decide on any controversy resulting from or connected to these Terms lies with the courts of Pakistan.
Exception: the above does not apply to any Users that qualify as European Consumers, nor to Consumers based in the United Kingdom, Switzerland, Norway, or Iceland. Given that the Service is intended for Business Users only, this exception is noted for completeness but is not expected to apply to the ordinary use of this Service.
Amicable Dispute Resolution
Users may bring any disputes to the Owner who will try to resolve them amicably. While Users' right to take legal action shall always remain unaffected, Users are kindly asked to contact the Owner at the contact details provided in this document before initiating formal proceedings. The User may submit the complaint — including a brief description and, if applicable, the details of the related order, purchase, or account — to the Owner's email address specified in this document. The Owner will process the complaint without undue delay and within 14 days of receiving it.
Pakistani Law and Court Jurisdiction
Pakistani law governs the interpretation, validity, and enforcement of these Terms in all respects, including any dispute, claim, or controversy arising from or connected with these Terms, the Website, or the Service.
Any dispute not resolved amicably within 30 days of written notice shall be referred to the courts of Pakistan, whose jurisdiction the User irrevocably submits to for the purposes of these Terms.
Nothing in these Terms prevents the Owner from seeking urgent injunctive or other equitable relief in any jurisdiction where necessary to protect its intellectual property, confidential information, business interests, systems, or rights.
